5. Fees and Payment Terms

Payment terms and conditions:

• Payment is due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges at 1.5% per month
• We reserve the right to suspend services for overdue accounts
• All fees are exclusive of applicable taxes
• Refunds are subject to the terms of the specific service agreement

6. Intellectual Property

Intellectual property rights and restrictions:

• All methodologies, templates, and proprietary tools remain our property
• Client data and information remain the property of the client
• Reports and deliverables become client property upon full payment
• Neither party may use the other's trademarks without permission
• Any improvements to our methodologies based on client work remain our property

• Financial information and strategic plans
• Any proprietary or sensitive information shared with us
• The existence and terms of our professional relationship

This confidentiality obligation survives termination of our services.

8. Limitation of Liability

Our liability is limited as follows:

• Total liability shall not exceed the fees paid for the specific service
• We are not liable for indirect, consequential, or punitive damages
• We are not liable for losses due to client's failure to act on our recommendations
• We are not liable for market conditions or external factors beyond our control
• Claims must be brought within one year of the completion of services

10. Termination

Either party may terminate services:

• With 30 days written notice for ongoing services
• Immediately for material breach of these terms
• Immediately if payment becomes overdue by more than 60 days
• Upon completion of project-based services

Upon termination, all outstanding fees become immediately due.

11. Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, government actions, pandemics, or other force majeure events.

12. Governing Law

These terms are governed by the laws of India. Any disputes shall be resolved through arbitration in Ahmedabad, Gujarat, in accordance with the Arbitration and Conciliation Act, 2015.

13. Amendments

We reserve the right to modify these terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of modified terms.

14. Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
